With Design in Mind to Sell Additional Shares

With Design in Mind International, a Chatsworth marketer of novelties and gifts, said it plans to sell additional securities to the public.

In a filing with the U. S. Securities and Exchange Commission, With Design said it plans to sell 670,000 common-share units, each of which includes one common share and one warrant that entitles its holder to buy an additional share under certain conditions.

With Design’s existing stock sells for about $3.50 a share in over-the-counter trading. At a price of, for example, $4 to $6, the offering would raise between $2.7 million and $4 million.

Proceeds would be used to repay debt and for general corporate purposes, said With Design, which sells its products to department stores and specialty retailers such as the Sharper Image and Spencer Gifts.
