The auditors of Energy Factors Inc. will qualify their opinion of the company’s fiscal 1987 financial statement because of uncertainty over the outcome of a shareholder suit filed in Superior Court, the company said Tuesday.

The lawsuit, filed on behalf of EFI investors by San Diego attorney William Lerach, alleges a breach of fiduciary duty and other claims against the company, its directors and Sithe Energies, a French-owned company that has tendered for EFI shares. Sithe’s offer is contingent on the settlement of the lawsuit.

An additional shareholder lawsuit filed in Delaware Chancery Court that was also related to the Sithe tender offer is in the process of being settled and was not a factor in the auditor’s qualification, EFI Chairman Robert Morris said Tuesday.
