Uniroyal’s anti-takeover vote count was delayed.
The company, which is trying to fend off a takeover bid by financier Carl C. Icahn, recessed its annual meeting and said the final tally on several anti-takeover measures would not be ready until Tuesday. Early counts showed the amendments narrowly passing, but Uniroyal said it would await a Monday court hearing on a motion by Icahn to block certification of the vote. The Uniroyal proposals include staggered terms for directors and a “fair price” amendment giving all shareholders the same price for their shares in event of a takeover.
