Gould Inc. said six individuals claiming to be Gould stockholders have filed suit in Delaware Chancery Court seeking to block the planned $1.1-billion merger between the company and Nippon Mining. The suit, which seeks class-action status, charges that directors of Rolling Meadows, Ill.-based Gould breached their fiduciary duty to stockholders in approving the merger and that the stock is worth more than the $23.25 a share offered by Nippon. The plaintiffs asked the court to enjoin the transaction.
