Litton to Acquire PRC from Black & Decker : Corporate: The power-tool maker is selling the information technology services unit for $425 million.

Black & Decker Corp. said it will sell PRC Inc., an information technology and services unit, to Woodland Hills-based Litton Industries Inc. for $425 million.

PRC, based in McLean, Va., provides computer systems integration as well as systems engineering, management consulting, software development and facilities management. It is expected to have 1995 sales of $720 million.

Black & Decker said the sale will allow it to reduce debt and focus more on key businesses. It has been trying to sell PRC since obtaining it with the 1989 acquisition of Emhart Corp.

No layoffs are planned from the acquisition, which is to close by late January, Litton said.

Litton said it hopes PRC will boost its defense electronics business by adding more services.

“PRC is a major supplier of information products and services to growing government markets,” said John Leonis, Litton chairman and chief executive officer.

He said Litton has pending acquisitions representing $800 million in annual revenue. It bought businesses with $280 million in fiscal 1995.

Black & Decker, based in Towson, Md., had tried to sell PRC in 1992 through a $350-million initial public offering, but the offer was withdrawn because of weak investor interest.

It had sold PRC’s medical business in 1990 for $30 million and its real estate and environmental segments earlier this year for $100 million.

Black & Decker is a leading maker of power tools and automotive and outdoor products.

The two companies made the announcement after the market close. Black & Decker shares rose 25 cents to $35.375; Litton dropped 25 cents to $43.50. Both trade on the New York Stock Exchange.
