New Jersey Company to Buy View Tech Inc.

All Communications Corp., a voice and videoconferencing system installer based in Hillside, N.J., has agreed to buy Camarillo-based rival View Tech Inc. for about $25.1 million in stock to broaden its videoconferencing services.

View Tech shareholders will get one All Communications share for every 3.3 shares they hold, or $3.18 a share.

All Communications warrants, which can be exercised at $4.25 and expire in May 2002, will become warrants of the combined company, to be called Wire One Technologies.

Wire One is expected to trade on the Nasdaq National Market System and will offer a variety of services, including video streaming.

The company’s goal is to offer state-of-the-art videoconferencing services, ranging from consulting to network management, said Richard Reiss, president and chief executive of All Communications. He will hold the same posts at Wire One.

The new company expects to reduce videoconferencing transmission costs when it rolls out a digital subscriber line (DSL) access service starting in the second half of this year. There are no immediate plans for job cuts, Reiss said.
