Calpine Amends SEC Filing

Calpine Corp. amended a third-quarter federal filing to provide more information on its energy business and finances in response to an inquiry from the Securities and Exchange Commission.

Calpine, one of the largest U.S. power producers, added details on new projects, letters of credit, bond repurchases and business with bankrupt energy company Enron Corp. It also revealed some details on energy derivatives used to hedge electricity production. The report didn’t change the earnings, balance sheet or cash flow previously reported.

The changes follow a call last week from the SEC’s Division of Corporation Finance, a “nonenforcement” division, and talks with the SEC staff, Calpine said.

Separately, the SEC’s enforcement division is investigating whether the company improperly disclosed financial information to analysts.

The amendment “is a normal part of the filing and review process at the SEC,” said Richard Dietrich, a professor of accounting at Ohio State University who was an SEC academic accounting fellow.

Shares of San Jose-based Calpine fell 58 cents to $7.98 on the New York Stock Exchange.
