Asher B. Edelman filed suit against Datapoint

Edelman charged that a recent change in Datapoint’s bylaws is illegally thwarting his effort to unseat the company’s directors. The suit, filed in U.S. District Court in Manhattan, asks that the bylaw change be declared invalid and charges that the change is “a crude attempt” by Datapoint’s directors “to block Datapoint stockholders from replacing them.” Edelman, a New York investor who owns nearly 11% of the San Antonio-based firm’s common stock, wants shareholder approval to oust the computer maker’s nine directors and replace them with himself and six of his nominees.
