Baxter Travenol agreed to acquire Compucare Inc.

Under the agreement, Baxter Travenol Laboratories will exchange $13 worth of its common stock for each common share of McLean, Va.-based Compucare in a pooling-of-interest transaction expected to be valued at about $73 million. The actual number of shares exchanged will be based on the average market price of Baxter Travenol stock for the 20 trading days ending three days prior to closing. Baxter Travenol is headquartered in Deerfield, Ill.
