The move is part of a group of measures that the company will put before shareholders this year to improve its defenses against unwanted acquisition attempts, the company said in its annual proxy statement. The company will seek approval for staggered terms for the board of directors, provision for a super-majority requirement for changes to the firm’s charter and the elimination of cumulative voting for directors, among other measures.
