Western Digital Corp., an Irvine manufacturer of semiconductor components, said last week it has filed a registration statement with the Securities and Exchange Commission for a $35-million offering of convertible subordinated debentures due 2011.

The First Boston Corp. and Montgomery Securities will be co-managers of the underwriting group. Western officials said net proceeds of the offering will be used to repay bank debt and for general corporate purposes.
