PNC Financial and Citizens Fidelity plan to merge.

In a stock swap valued at about $700 million, PNC Financial Corp. of Pittsburgh and Citizens Fidelity Corp. of Louisville, Ky., said they have agreed to merge. A definitive merger agreement, which must be approved by shareholders and bank regulators, would create the second-largest banking company in Pennsylvania, with assets of $22.8 billion.
