British publisher Robert Maxwell challenged Macmillan Inc.’s $2.5-billion merger agreement with Kohlberg Kravis Roberts & Co., charging in Delaware Chancery Court that the bidding process had been “rigged.” Maxwell attorneys also attacked Macmillan’s “lockup” agreement with KKR, in which the investment firm was granted an option to buy four Macmillan businesses under certain circumstances, including the direct marketing group, the directory division, the Berlitz language schools and Michie Co., which publishes state legal codes. A hearing was scheduled for Oct. 10.
