Software Toolworks to Offer Common Stock

Software Toolworks, a Chatsworth publisher of software for personal computers, said it plans a stock offering totaling about 2 million common shares.

The company said it expects to file a registration statement for the shares with the Securities and Exchange Commission in about two weeks. Of the proposed shares to be offered, 1.5 million would be sold by the company and an additional 500,000 shares would be sold by certain existing Software Toolworks stockholders.

The company’s proceeds from the sale would be used for working capital, possible new facilities, research and development, and possible acquisitions.
