Dataproducts Completes Sale to Trizec Warner

Dataproducts Corp., which recently fought off a takeover bid, completed the sale of its Woodland Hills headquarters and manufacturing facilities to Trizec Warner Inc. for $59.5 million.

The company, which will lease back the facilities for two years, also launched a tender offer in which it will use the sale’s proceeds to buy back up to 4 million shares, or 20% of its stock, for $10 a share.

The transactions are part of an overhaul that Dataproducts announced in September as the computer-printer maker battled a takeover offer by a New York investor group called DPC Acquisition Corp. DPC abandoned the bid two weeks ago.

The restructuring also calls for Dataproducts to eliminate 400 manufacturing jobs in Woodland Hills and to move its domestic printer-manufacturing operations from Woodland Hills to its plants in Hong Kong and Ireland.
