California Amplifier to Buy 50% of Micro Pulse

California Amplifier Inc. in Camarillo said it has tentatively agreed to buy 50% of Micro Pulse Inc., a start-up manufacturer of microwave antennas also based in Camarillo.

California Amplifier, which supplies components for home satellite dishes and wireless cable systems, said that in exchange it would give Micro Pulse $100,000 in cash and a $400,000 note, maturing in three years, that can be converted to California Amplifier’s common stock at $8 a share.

Separately, California Amplifier’s biggest stockholder, Colorado investor Charles W. Ergen, lowered his stake in the company to 14.7%, or 664,085 shares, according to a filing with the Securities and Exchange Commission.

Ergen, who unsuccessfully tried to buy California Amplifier a year ago, sold 53,000 of the company’s shares between May 27 and July 7, at prices ranging from $6.125 to $7.875 a share, the filing stated.
