LDA Systems Inc. Hopes to Raise $2 Million

International Remote Imaging Systems Inc. said a newly formed Chatsworth company is hoping to raise up to $2 million through an offering of 200,000 units to International Remote stockholders.

Funds from the sale of the units by LDA Systems would be used to pay for the third and final phase of a federal Small Business Innovation Research project to commercialize a new automated, high-speed instrument that analyzes white blood cells, International Remote said. The instrument is based on International Remote technology, and is subject to clearance by the federal Food and Drug Administration.

International Remote, based in Chatsworth, makes urinalysis workstations.

The units will be offered at $10 apiece to International Remote stockholders of record June 10. Each unit will consist of one share of callable LDA common stock and 10 warrants. Each warrant will entitle the holder to buy one share of International Remote common stock at 75 cents a share beginning Nov. 16.

The units will be offered to International Remote stockholders exclusively until Aug. 10, after which LDA will offer any unsold units to the public.
