E.N. Phillips Completes Gaming Unit Acquisition

E.N. Phillips Co., a shell company in Reseda, says it has completed its previously announced acquisition of Entertainment Gaming Inc. for an undisclosed amount of stock.

Entertainment Gaming is a Denver concern trying to develop a resort and casino in Black Hawk, Colo., which legalized gambling in 1990. Phillips previously operated health-screening testing centers in shopping malls, but later abandoned the business.

Separately, Phillips said Hal B. Phillips resigned as chairman of the company but will remain a public-relations consultant. His son Douglas, Phillips’ president, has been nominated by the board to also become chairman and chief operating officer.

Also, Entertainment Gaming’s president, Mariano DeCola, was nominated to be Phillips’ chief executive officer and a director. DeCola also is a principal of Alpine Capital Group, a Denver investment firm involved in real estate development, Phillips said.
