Source: The compensation data in this chart were provided by Standard & Poor’s Compustat Services in Denver and were derived from proxy and 10K filings of California’s 100 largest publicly held companies, ranked by revenue.

Who Is Listed: The chart lists the top-ranking officer at each company, usually the chief executive officer. In a few cases, we have listed the president rather than the CEO because historic salary trends indicate that the president is the top officer.

Total Compensation: Includes salary; bonus; the reported value of stock options granted during the year; the value of restricted stock awards; long term compensation, and “other” compensation, which includes company-paid perquisites, severance and retirement pay.

Stock Options Granted: The figures listed in this column may have been calculated by the company in a variety of ways.

Some represent the present value of the options based on a complex formula called the Black-Scholes method. Others represent the future value of 1992 stock grants, based on the assumption that the stock will appreciate 5% per year. The 5% method typically results in a higher value than the Black-Scholes method. The figures used here are those reported by each company in its proxy.

In addition, about a third of the companies did not report a figure in this category, because of SEC rules prevailing at the time they issued their proxies.

Stock Awards: Restricted stock awards are gifts of stock that usually become free of restrictions after a period of time or after performance goals have been met. The listed value of the award represents the value of the underlying stock on the date of the grant.

Stock Options Exercised: This column lists the difference between the market price of an officer’s stock and the price at which the option to purchase it was exercised, as of the date of purchase. Figures in this column are not added into the executives’ “total compensation,” because the gains essentially are earned over a period of years.

Performance Rating: These ratings were calculated by Strategic Compensation Associates of Los Angeles. They are based on total shareholder return, company size and stock-price volatility.

Size was factored in because it affects executives’ pay, even though it does not necessarily affect stockholder performance. All things being equal, big companies pay their executives more--sometimes a lot more--than small ones.

Volatility was taken into account through an adjustment for risk. SCA calculated risk using the “Capital Asset Pricing Model,” a well-known and widely accepted technique for determining the relative risk of an investment.

Why adjust for risk? Because a shareholder in a higher-risk company--such as a high technology firm--is taking a bigger gamble than someone who invests in a lower-risk entity such as an electric utility, explains Dan Marcus, SCA vice president. Such shareholders expect a higher total return, both in terms of the stock’s price and dividend yield, he says.

SCA calculated risk-adjusted return for the last five years, then averaged the annual figures to come up with an overall return. This approach captures short- and long-term performance.

In the end, each company was assigned a rating consisting of a letter and a number.

The letter indicates company size, based on stock market capitalization (shares outstanding multiplied by per-share price). “H” indicates a highly capitalized company (one with more than $5 billion in market capitalization), “M” indicates medium capitalization ($1 billion to $5 billion) and “L” indicates low capitalization (less than $1 billion).

Within each size group, SCA ranked the companies by performance. The top third were given a “1,” the middle third a “2” and the bottom third a “3.”

In other words, when you see “1H” in the Performance Rating column, you’re looking at a high-performing (1), big (H) company.
