GB Foods Corp. Chairman Ruben Rodriguez and Robert V. Gibson, executive vice president, have resigned to pursue other interests, the company said Tuesday.

GB Foods is the parent company of the Green Burrito Mexican-style restaurant chain. Rodriguez, who was also the chief executive officer, founded the first Green Burrito restaurant in 1980 and intends to operate several of the Green Burritos he still owns. Gibson is rejoining his Irvine law firm of Gibson & Haglund.

Rodriguez will be replaced by William M. Theisen, who holds a controlling stake in GB Foods. Michael J. Scherr, an Omaha resident and associate of Theisen, will replace Gibson. Rodriguez and Gibson will do consulting work for GB Foods.

“I think the time is here for Willie Theisen to take over as chairman, president and chief executive officer,” Rodriguez said Tuesday. “He’s an asset to this company. Willie and I get along together . . . and it was the right time for him to take over.”

Theisen, an Omaha resident who acquired a controlling interest in GB Foods in 1992, is expected to move to Newport Beach this summer. Next month, Gibson said, GB Foods plans to move its corporate office to Newport Beach from Anaheim.

GB Foods has 67 restaurants, including about a dozen that are company-owned. The chain reported a $384,935 net loss for the first quarter, compared to a $23,612 net profit a year ago. First-quarter revenue declined to $1.3 million from $1.4 million a year earlier.
