GM Filing Renews EDS Spinoff Speculation: Analysts said the possibility of a sale or spinoff, revealed in a registration statement filed with the Securities and Exchange Commission, would allow Detroit-based General Motors Corp. to shed a company it never digested well--and give Electronic Data Systems the flexibility it needs to compete in the rapidly expanding computer services industry. The filing indicates that GM may sell shares of the Dallas-based data-processing firm, which it acquired in 1984, to the public or distribute them to its own stockholders, subject to board approval. The statement pertained only to a fraction of GM’s Class E common stock held by the pension fund.
