Sync Research to Acquire TyLink

Software company Sync Research Inc. said it has agreed to acquire privately held TyLink Corp. for $4 million cash and nearly 2.8 million shares of stock, worth $39 million based on Sync’s closing price Friday of $14.25 a share.

Sync provides computer networking software for customers of International Business Machines Corp.’s networks. TyLink, located in Norton, Mass., develops high-speed communications products used in such networks.

Separately, Irvine-based Sync said it anticipates reporting a loss in the second quarter that will exceed the $900,000 loss reported for the first quarter. Second-quarter revenue should range from $4 million to $4.5 million, the company said. For the year-earlier period, Sync posted $5.3 million in sales and no earnings.
