Hearing Date Set in CSC Takeover Battle

Computer Associates International will make its case that El Segundo-based Computer Sciences Corp.’s anti-takeover provisions should be invalidated in federal court March 16. U.S. District Judge Lloyd George set the date after Islandia, N.Y.-based Computer Associates--which is pursuing a $108-per-share hostile bid to buy Computer Sciences--asked for expedited consideration of its claim. George also granted CSC, a computer services and consulting firm, permission to proceed with discovery in preparation for the hearing. Software developer CA is contesting changes in CSC’s bylaws that make it more difficult for shareholders to vote on the CA bid, including one provision that would require a 90% majority to remove or change the company’s board of directors, said Will Phillips, an attorney representing CA.CSC’s board is scheduled to meet today.
