Myers Plans Acquisition

Steven Myers & Associates Inc. of Newport Beach said Wednesday it plans to acquire Decision-Science Applications Inc. for $30.9 million in stock and cash, to boost its technical services and non-defense business.

SM&A;, which helps companies including Lockheed Martin Corp. and Boeing Co. write and secure contracts, said if the merger is approved by DSA shareholders, the addition of more than 230 DSA scientists will almost triple the company’s work force.

In May, SM&A; acquired Vienna, Va.-based Space Applications Corp. for $14.7 million in cash and stock, adding 235 workers.

“The combination of DSA with our recent acquisition of Space Applications provides exceptional technical and management strength to our rapidly growing high-end contract support services,” said Steve Myers, chairman and chief executive of SM&A.;

Arlington, Va.-based DSA is expected to generate sales of about $42 million in 1998. The sale is expected to be completed around mid-August.

SM&A; shares rose 19 cents, to $22, in Nasdaq trading Wednesday.
