North American Scientific to Acquire Theseus Imaging

North American Scientific Inc., Chatsworth, and Theseus Imaging Corp. announced the signing of an agreement and plan of merger providing NASI the exclusive right to acquire Theseus in a stock-for-stock exchange.

Under the terms of the agreement, Theseus stockholders will receive up to 200,000 shares of newly issued NASI common stock and certain royalty rights in exchange for 100% of Theseus’ common stock. In the interim, NASI will continue to provide funds to Theseus for ongoing clinical studies.

North American Scientific manufactures and markets products for medical therapeutic and diagnostic, environmental and research applications.

Theseus develops radiopharmaceutical products for use in nuclear medicine.
