Pen Interconnect Ends Talks With Transdigital

Pen Interconnect Inc., an Irvine provider of manufacturing services, said Monday it has called off plans to merge with Brea-based Transdigital Communications Corp.

After reviewing the proposed transaction further, the companies decided the merger would not be in their best interests, said Stephen J. Fryer, Pen president and chief executive.

Pen Interconnect Inc. also said it agreed to acquire the Gammon Group, a private contract manufacturing company in Dallas, and one of its affiliates. Financial terms were not disclosed.

Gammon and its affiliate manufacture products such as electronic assemblies, power supplies and cabinets for the electronics and medical industries, as well as motor generators for the RV and boating industries. They have combined annual revenues in the $10-million range. Financial terms were not disclosed.
