Raining Data Now Owns PickAx Inc. of Irvine

Raining Data Corp., formerly known as Omnis Technology Corp., said Monday that it has completed its acquisition of PickAx Inc., the Irvine parent company of database management systems developer Pick Systems.

Terms of the deal were not disclosed, but the San Carlos company previously said it would issue 2.7 million shares, worth a total of nearly $12.2 million based on Monday’s closing stock price of $4.50 a share. Raining Data also is assuming $17.3 million of PickAx’s debt.

The companies received the approval of their stockholders for the merger. As a condition, the company has changed its name from Omnis to Raining Data and will begin trading on the Nasdaq under the ticker RDTA.

Omnis makes tools that aid the creation and deployment of enterprise and Web-based applications.
