* WorldPages.com Inc., which runs an Internet telephone directory, agreed to be bought by closely held TransWestern Publishing Co. for about $141 million. San Diego-based TransWestern, in conjunction with Boston-based Thomas H. Lee Partners, will pay $3 a share in cash and will assume about $74 million in debt. Shares of Dallas-based WorldPages.com rose 40 cents to close at $2.60 on Nasdaq.

* Clorox Co. said profit fell 4.4% in its fiscal third quarter to $109 million, or 45 cents a share, a penny better than forecasts, as revenue also fell 4.4% to $989 million. The company said earnings in the current quarter also will decline because of higher energy costs and weak sales.

* EVineyard, a closely held Internet wine retailer based in Portland, Ore., bought the Wine.com and Wineshopper.com Web sites from Sand Hill Capital for an undisclosed amount, adding to its customer list. The two Web sites, both based in Napa, Calif., had sales of $25 million last year.

* Nordstrom Inc. said it would end a licensing deal for Callaway Golf Co. golf apparel and other products at the end of the year. Nordstrom has made and sold the Carlsbad company’s line exclusively since 1994. Nordstrom in January agreed to be a specialty retailer of Nike Inc.’s Tiger Woods line of apparel.
