Computer Associates Adds 2 Board Members

Computer Associates International Inc. added two board members as the software maker defends against entrepreneur Sam Wyly’s attempt to seize control.

Linus Cheung, 52, deputy chairman of Hong Kong’s Pacific Century CyberWorks Ltd., and Lewis Ranieri, 54, who pioneered trading in mortgage-backed securities at Salomon Brothers Inc., joined the board, raising it to 10 members, the company said.

Wyly asked shareholders last week to back his proxy battle to oust the board and management, saying his $55-million stake in the maker of software for big businesses has fallen by half. He accuses Chief Executive Sanjay Kumar, Chairman Charles Wang and Executive Vice President Russell Artzt of mismanaging the company. Shares of Islandia, N.Y.-based Computer Associates rose 66 cents to $32.66 on the Big Board.
