SEC Probing California Amplifier Earnings

California Amplifier Inc., a maker of antennas used in satellite and other telecommunication devices, said the Securities and Exchange Commission is investigating the company’s planned earnings restatement. Michael Ferron, the company’s chief financial officer, said the SEC inquiry focuses on circumstances that led the company to announce it would restate earnings for fiscal 2000 and for its first three quarters of this year. He declined to comment further. The company said that because it failed to comply with certain rules that require annual reports to contain audited financial statements, it received notice from the Nasdaq Stock Market that it may be delisted Tuesday. The Camarillo-based company has appealed. Trading of the company’s shares on Nasdaq are suspended. They last traded March 28, when they fell 19 cents to $5.03.
