U.S. Medical to acquire American Emergicenter.

Santa Monica-based U.S. Medical Enterprises, which will be the surviving entity, operates seven occupational and ambulatory-care health clinics and one fitness center in Los Angeles and Orange counties. American Emergicenter operates four free-standing emergency centers in Orange County under the name Americare 1. Under the merger agreement, 407,000 shares of U.S. Medical common stock will be issued for all outstanding shares of American Emergicenter. Officials of both firms expect the merger to be completed by Oct. 31.
