Protocol Computers agreed to be acquired.

The tentative agreement calls for the financially troubled Woodland Hills firm to be bought by Telematics International of Fort Lauderdale, Fla., for $6.4 million in cash. Protocol said it would likely remain in Southern California even if the deal goes through. Both companies make data communications equipment.
