Fruehauf’s chairman will oppose a takeover bid.

Fruehauf Corp. Chairman Robert D. Rowan says he will ask company directors to reject New York investor Asher B. Edelman’s bid to win control of the truck-trailer manufacturer. Edelman indicated that his $41-per-share, or $800-million, offer hinged on his conducting an investigation of the company and obtaining financing for the proposal. “Based upon our company’s prospects, the inadequacy of the proposal and its highly conditional nature, I intend to recommend that Mr. Edelman’s proposal be rejected by the Fruehauf board,” Rowan said. Edelman has acquired 5% of Fruehauf’s 21 million shares.
