A proposed $9.6-million stock sale would leave California businessman Robert R. Hagopian as the biggest stockholder in Spendthrift Farm Inc., a leader in the raising of thoroughbreds.

Hagopian and Brownell Combs II announced Wednesday that Hagopian had agreed to buy Combs’ 4.6 million shares for $2.07 a share. Hagopian would control about one-third of the horse-breeding operation’s stock.

The deal is contingent upon the election of Hagopian, his wife and his son to the board of directors of the company. The firm reported a $3.3-million loss during the last six months of 1985.
