EnMasse Makes Offer for Point 4 Data Corp.

EnMasse Computer Corp. has made an offer to buy all outstanding shares and options of privately held Point 4 Data Corp. for $18.7 million in cash and notes.

Under the terms of the offer, Tustin-based Point 4 would become a wholly owned subsidiary of EnMasse and retain its present name, management, products and policies. Point 4 management would also take over management of the Acton, Mass., company which discontinued general operations in March.

William F. Rigby, president and CEO of Point 4, said a tender offer has been made, and shareholders are expected to be heard from Aug. 27.

Last year, Point 4 attempted to acquire Alpha Microsystems, but canceled its bid when TeleVideo Systems of Sunnyvale stepped in with a higher offer. That acquisition attempt was also terminated.

Rigby said EnMasse and Point 4 are the “right combination.” Point 4, with 195 employees and annual sales just under $22 million, manufactures multi-user computer systems. EnMasse, a privately held company, had developed a multiple microprocessor system.
