Southdown Inc. of Houston said it will offer $31 a share for Moore McCormack Resources of Connecticut and had filed suit against Moore’s chairman, claiming that he had tried to illegally block the tender offer. The suit filed in U.S. District Court in Houston said Southdown subsidiary SDW Inc. will today offer Moore McCormack stockholders $31 for each share, or a total of about $177 million. The suit claimed that Moore McCormack Chairman Paul Tregurtha and the directors violated their fiduciary duties by making illegal moves to prevent shareholder consideration of SDW’s tender offer.
