A federal judge ruled that Media General Corp. officials were under no obligation to consider an unsolicited takeover offer from Beverly Hills producer Burt Sugarman. However, Judge Richard L. Williams in Richmond, Va., declined to dismiss allegations that Media General made misleading statements in a recent proxy fight and that its board of directors may have acted improperly in erecting takeover defenses. The issues were raised in two lawsuits filed by stockholders against the Richmond-based media company that Sugarman had sought to acquire.
