Steve’s Homemade Ice Cream has signed an agreement to buy 86% of the stock of Heidi’s Frogen Yozurt Shoppes of Laguna Hills, company officials said Monday. The stock is owned by Heidi Miller and her associate, Brian Pallas. Steve’s will trade up to 200,000 shares of its own common stock for the ownership interest in Heidi’s. The agreement was announced last November and “is subject to certain conditions being satisfied within the next 10 days,” according to a prepared statement from Steve’s officials, who could not be reached for comment. “The agreement’s been signed,” Pallas said in a telephone interview. “When you buy 86% of the stock, you’ve basically bought the company, have you not?” Pallas refused further comment.
