Illinois Makes Hostile Takeovers Difficult

SPRINGFIELD, Ill. —
Illinois Gov. James R. Thompson today signed legislation intended to prevent hostile corporate takeovers.
The law authorizes the issuance of “poison pill” shareholder rights or options plans by Illinois corporations without shareholder approval. The plans can make hostile takeovers prohibitively expensive.
