PacifiCare Will Write Off Up to $9 Million for Sale

PacifiCare Health Systems Inc. said it expects to take a charge of about $6 million to $9 million, or 20 cents to 25 cents a share, in its fiscal third quarter for the sale of its Pasteur Delivery Systems unit.

The regional managed health-care company said the charge represents the write-off of goodwill, as well as other transaction expenses. For the third quarter ended June 30, 1995, the company reported net income of $30.3 million, or 97 cents a share.

Earlier this week, the company said it will sell Pasteur Delivery, which has nine medical clinics serving its Southern Florida managed health-care plans, to closely held PrimeCare International Inc. for an undisclosed price. The transaction is scheduled to close May 31.

Upon completion of the transaction, PacifiCare’s Florida health plan, PacifiCare of Florida, will contract with PrimeCare for the delivery of health-care services to PacifiCare’s health plan members in Southern Florida. Managed health-care plans typically receive prepaid fees to provide all the medical services its members need from doctors and hospitals who contract with the plans.
