Scopus Plans to Buy Clear With Computers

Scopus Technology Inc. said it plans to buy Clear With Computers Inc. for $92.1 million in stock to bolster its customer service software systems. Scopus said it would issue about 5.67 million shares in exchange for Clear With Computers’ shares and options. The purchase price is based on Wednesday’s closing price for Scopus shares of $16.25, the company said. CWC, based in Mankato, Minn., develops interactive selling systems. The purchase is still subject to shareholder and regulatory approval, the company said. Emeryville-based Scopus also said its fiscal second-quarter earnings fell 31% to $1.03 million, or 5 cents a share, from $1.50 million, or 8 cents, a year earlier. Shares of Scopus, which provides client-server software systems for the customer information management market, were unchanged at $16.25 on Nasdaq.
