View Tech OKs Merger

View Tech Inc., a Camarillo-based maker of equipment for video, voice and data communications, agreed to be acquired by All Communications Corp. of Hillside, N.J., in a $138-million stock deal. All Communications sells voice and videoconferencing communications systems. The combined firm, to be called Wire One Technologies, will be based in Hillside. About 70 of View Tech’s 160 employees are in Camarillo, but only a handful of layoffs are expected, said Douglass Hopkins, View Tech’s chief executive. All Communications will issue about 2.9 shares of its stock for each share of View Tech, giving View Tech’s shareholders 30% of the combined company. Shares of View Tech fell 19 cents to close at $2.19 on Nasdaq Thursday. All Communications dropped 25 cents to close at $6.03 in over-the-counter bulletin board trading.
