* Georgia-Pacific Corp., maker of building products and paper, made an unsolicited offer of $842 million, or $12 a share, for Unisource Worldwide Inc., the largest U.S. distributor of paper and janitorial supplies. The bid tops an offer by UGI Corp., the largest U.S. propane seller. Both deals would assume $650 million in Unisource debt. The UGI offer, made in March, values Unisource at about $10.08 a share, based on UGI’s Friday closing price of $17.81. UGI declined to comment. Its stock rose $2.50 to close at $20.31. Unisource rose $2.75 to $11.50, and Georgia-Pacific fell $6.56 to $92. All trade on the NYSE.

* May Department Stores Co. said its profit rose 11% in the first quarter to $122 million, or 34 cents a share, while revenue rose 8.4% to $3.05 billion as it kept costs down. Sales at stores open at least a year rose 3.5%. In the year-ago period, net income was $110 million, or 29 cents a share.
