California Software Sues a Former Suitor

California Software Corp., an Irvine maker of products that help IBM programs change over to Windows and the Web, said Wednesday it has filed a lawsuit alleging fraud against a Georgia company that was going to buy it.

In a press release, California Software also said it has ended merger talks with UniComp Inc. in Marietta, which it accused of fraudulent misrepresentation.

The Orange County company’s comments came two days after UniComp said it terminated all merger talks with California Software.

UniComp also said Monday it sold its Unibol Ltd. operation in the United Kingdom to California Software but filed a lawsuit disputing California Software’s claim that the deal included UniComp’s U.S. unit, Unibol Inc. The Orange County company’s lawsuit seeks clear ownership rights to the U.S. Unibol unit.

California Software had tentatively agreed last month to be acquired by UniComp in an even stock swap. The Irvine firm’s stock gained 13 cents Wednesday to close at 75 cents a share in over-the-counter trading.
