Ailing Premier Laser Plans to Sell Unit to German Firm

Troubled Premier Laser Systems Inc. said Friday that it has tentatively agreed to sell assets of its EyeSys Corneal Topography division to ProLaser Ltd. in Duesseldorf, Germany. ProLaser will acquire the intellectual property, customer base and inventory of the EyeSys division. ProLaser expects to close the deal Dec. 8. In addition, Premier and ProLaser have tentatively agreed to proceed toward a merger of Irvine-based Premier into ProLaser once Premier’s Chapter 11 bankruptcy petition process is resolved. Both transactions are subject to review of financial records, approvals by both boards and the Bankruptcy Court, and the completion of definitive agreements.
