H-P proposed three anti-takeover measures.

Barbara Kommer, a spokeswoman for Palo Alto-based Hewlett-Packard, said the amendments were proposed “to make it more difficult for an unsolicited bid for the company.” The first amendment that shareholders will be asked to approve would increase the authorized number of common shares and create a preferred stock series, Kommer said. The second amendment would add provisions to ensure that all stockholders receive the same price in any purchase offer, and the third would require a meeting of shareholders whenever any share action takes place. Kommer said H-P knows of no unsolicited takeover attempts.
