Irvine-based National Education Corp. has filed a registration statement with the Securities and Exchange Commission for an offering of 13.2 million shares of common stock. The offering is being made in connection with the previously announced merger between National Education’s Deltak subsidiary and Advanced Systems Inc., both based in Chicago. Shareholders of National Education and Advanced Systems will vote separately on the proposed merger on Dec. 29.
