VMX to Issue Shares to Acquire Opcom

VMX Inc. of Dallas plans to issue up to 10.9 million common shares worth an estimated $4.2 million to acquire Opcom, according to a filing with the Securities and Exchange Commission.

VMX, a computer software maker, said it plans to acquire each common share of Opcom in exchange for one of its common shares.

Opcom of San Jose, Calif., designs and sells computer software products called D.I.A.L., which are used by businesses to help handle telephone calls.

VMX sells computer software, called Voice Message Exchange Systems, that allows phone messages to be sent, received and redirected in a single call.

VMX shareholders will vote on the acquisition on June 17.
