Two’s Co. Shareholders Agree to a Stock Swap

Under a reorganization plan, Two’s Co. shareholders will transfer their shares of Santa Monica-based American Entertainment Venture Corp., according to a filing with the Securities and Exchange Commission.
In exchange for the transferred shares, American Entertainment will issue 13.4 million common shares and stock purchase warrants to Two’s Co. shareholders entitling the holder to buy a total of 8 million common shares at 5 cents each.
