U.S. Medical will reject ReadiCare’s offer.

Thomas C. Borut, chairman of U.S. Medical Enterprises, a Santa Monica-based operator of eight medical clinics in Los Angeles and Orange counties, called the $12.3-million merger offer “ridiculous.” He said the firm’s executive committee, which controls more than half of U.S. Medical Enterprises’ stock, will ask the board of directors to reject the proposal to merge with ReadiCare, a 3-year-old firm that operates 24 clinics in California.
